PHOTOGRAPHER / PAINET AGENCY AGREEMENT

certify and warrant that I am the sole and exclusive owner of the low-resolution,
JPEG format, digital images delivered to Painet Inc. by e-mail or by transfer to
your FTP (File Transfer Protocol) site.

I also warrant that I am the sole and exclusive owner of any images
delivered to Painet Inc. by CD (any resolution or format) or slides
(transparencies), negatives, and prints.

I hereby grant to PAINET INC., and its affiliates or assigns, a
non-exclusive, world-wide right to post my images on the Internet via
electronic distribution, for the purpose of marketing and/or advertising
my images and generating sales of such.

I understand the compensation for your service shall be Fifty Per Cent
(50%) of the total sum billed and collected by you. for any images I deliver
as low resolution digital scans (those less than 16 MB, when opened in
Photoshop), or scans that you make from my slides or negatives. I
understand that I will receive Fifty Per Cent (50%) of the total sum billed
and collected by you for any images I deliver as low resolution digital scans
(less than 16 MB, when opened in Photoshop), or scans that you make from
my slides or negatives.

I understand the compensation for your service shall be Forty Per Cent
(40%) of the total sum billed and collected by you, for any images I deliver
as high resolution digital scans (those equal to or larger than 16 MB, when
opened in Photoshop). I understand that I will receive Sixty Per Cent (60%)
of the total sum billed and collected by you for any images I deliver as high
resolution digital scans (those equal to or larger than 16 MB, when opened in
Photoshop).

It is understood and agreed that payments to me for accrued sales will occur
at the end of each fiscal quarter.

This agreement shall be for four (4) years from the date of this document,
and at each expiration date it shall renew itself automatically for a
like period unless terminated by either party in writing, by Registered
mail, sixty (60) days before any expiration date.

It is understood and agreed that this agreement does not constitute an
employment agreement between me and you, and that my status is that of an
independent contractor.

This agreement shall not be amended, modified, or changed in any respect
unless the change is reduced to writing and signed by each of the parties.

No trade, custom, or usage shall affect this agreement or the terms and
conditions of it.

This agreement incorporated our entire understanding.

This agreement shall be binding upon the photographer and PAINET INC.,
and their heirs, executors, administrators, successors, and assigns.

Painet Inc. placement of your images on our website at www.painetworks.com
binds Painet Inc. to this Agreement.
